The short version. You pay through the App Store. Your thoughts stay yours. The AI can be wrong, so check before you rely on it. Don’t break in, don’t automate it, don’t try to trick the model. We’re a small New Zealand company and we’ll be fair with you.
1. Who we are
Thoughts is made and run by So Easy Limited, a company registered in New Zealand (“we”, “us”). These Terms of Service (“Terms”) are a contract between you and us. Our Privacy Policy explains how we handle your data and is part of these Terms.
Because you get Thoughts from Apple’s App Store, Apple’s Licensed Application End User License Agreement also applies. If it conflicts with these Terms, these Terms win, except where section 12 says otherwise.
2. Who can use Thoughts
You must be at least 13 years old, or the age of digital consent where you live if that’s higher. If you’re under 18, a parent or guardian must agree to these Terms for you. You must be able to enter into a binding contract and not be barred from using the service under any applicable law.
3. Your account
You sign in with your Apple ID. Your account is personal to you: keep your device and Apple ID secure, and don’t let anyone else use your account. Tell us straight away if you think someone else has got in.
One subscription covers one person’s account on all of their Apple devices. It isn’t a family or shared plan.
4. Subscriptions and payment
- Paid only. Thoughts needs an active subscription to save new thoughts. There is no free tier. Current prices are on the Pricing page and in the app.
- Through Apple. All subscriptions are bought and billed through the App Store using your Apple ID. We never take payment directly and never see your card details.
- Auto-renewal. Your subscription renews automatically at the end of each period (weekly or yearly) unless you cancel at least 24 hours before it ends. Apple charges your account within 24 hours of the end of the current period.
- Cancelling. Cancel any time in your App Store account settings (Settings → your name → Subscriptions, or apps.apple.com/account/subscriptions). You keep access until the end of the period you’ve paid for. Deleting the app does not cancel the subscription.
- Refunds. Refunds are handled by Apple under the App Store terms, at reportaproblem.apple.com. We can’t issue refunds ourselves. Nothing here limits any right to a refund you have under consumer law.
- Price changes. If we change a price, Apple will tell you in advance and, where required, ask you to agree before the new price applies.
- When a subscription lapses. You can still export everything you saved as CSV files, and reminders you already set still fire. You just can’t add, read or search thoughts in the app until you subscribe again.
5. Your thoughts
You own what you say. Everything you record or type into Thoughts, and the lists, reminders and transcripts made from it, is yours. We claim no ownership of it.
What you let us do with it. So the app can work, you give us permission to store, transcribe, process, analyse, index, back up and display your content, and to send it to the service providers named in our Privacy Policy, only for the purpose of running Thoughts for you. This permission ends when your content is deleted, except for backups, which are cleared on the schedule in the Privacy Policy.
You’re responsible for it. Only record things you have the right to record. In many places it is illegal to record a private conversation without the other people’s consent. Thoughts is built for your own notes, not for recording others.
Keep a copy of anything critical. We work hard never to lose a thought, and you can export everything at any time. But no online service is a substitute for your own backup of information you cannot afford to lose.
6. AI, and what it gets wrong
Thoughts uses artificial intelligence to turn your voice into text, to understand what you said, and to answer your questions. AI makes mistakes. In particular:
- Transcripts can mishear words, names, numbers, dates and places, especially with background noise, accents, or more than one language.
- Answers are generated from your own thoughts and may be incomplete, out of date, or wrong. The app shows you the thoughts each answer came from so you can check.
- Reminders and list changes made from plain words can be misunderstood. Always check the confirmation the app shows.
Answers are not advice. Nothing Thoughts says is medical, legal, financial, safety or other professional advice, even if the thought you saved was about those things. Don’t rely on the app for anything where a mistake could hurt you or someone else, and never for emergencies. Check important details against the original thought or another source before acting on them.
We’re always improving accuracy, but we can’t promise any answer, transcript or reminder is correct, complete or on time.
7. What you may not do
Thoughts is for a person to talk to and ask. You agree not to, and not to help anyone else to:
- Automate it. Use scripts, bots, macros, shortcuts, or any other automated means to send input to Thoughts, call our servers or APIs, or read data out of them, other than through the app itself in the normal way. This includes bulk or scheduled capture, scraping, load testing, and building your own client.
- Attack the AI. Attempt to prompt-inject, jailbreak, or otherwise manipulate the AI models or our instructions to them; extract our system prompts, model configuration or safety settings; use the app to generate output for training, benchmarking or competing with any AI model; or use Thoughts as a general-purpose chatbot for anything other than your own thoughts.
- Reverse-engineer it. Decompile, disassemble, reverse-engineer, or try to derive the source code, models, prompts or algorithms of the app or our servers, except to the extent the law expressly allows despite this clause.
- Break in. Probe, scan or test the security of our systems without our written permission; access another person’s account or data; bypass any rate limit, paywall, entitlement check or other technical restriction; or interfere with the service or the network.
- Misuse it. Use Thoughts for anything illegal, to record people without any consent the law requires, to store content you have no right to store, or to harass, defame or harm anyone.
- Resell it. Sell, rent, sublicense or share your account or subscription, or offer Thoughts as part of any commercial service.
8. The service
We’ll do our best to keep Thoughts available and working well, but we don’t promise it will be uninterrupted or error-free. We may change, add or remove features, and may need to pause the service for maintenance. If we ever decide to shut Thoughts down, we’ll give you at least 30 days’ notice and time to export your data.
Thoughts needs an internet connection to save and answer. Your voice is transcribed on our servers, not on your device.
We may send you notices about the service inside the app. We’ll only email you about your account, support, or changes to these Terms or the Privacy Policy, never marketing you haven’t asked for.
9. Our property
The Thoughts apps, our servers, design, name, logo and the software behind it all belong to us or our licensors. We grant you a personal, non-transferable, non-exclusive, revocable licence to use the apps on Apple devices you own or control, for your own personal use, in line with these Terms and Apple’s usage rules. Nothing else is granted.
If you send us feedback or ideas, we can use them without owing you anything. Your thoughts themselves are never “feedback”.
10. Ending things
You can stop any time: cancel your subscription with Apple and, if you like, delete your account in the app. Deleting your account erases your data on the schedule in the Privacy Policy.
We can suspend or close your account if you seriously or repeatedly break these Terms, if the law requires it, or if your account has been inactive with no subscription.
Sections 5 (your licence to us ends, but responsibility stays), 6, 7, 9, 11 and 13 continue after your account ends.
11. Warranties and liability
Consumer guarantees. If you use Thoughts for personal use, the New Zealand Consumer Guarantees Act 1993 and equivalent consumer laws where you live give you rights we can’t take away. Nothing in these Terms limits those rights. If you use Thoughts for business purposes, you agree the Consumer Guarantees Act does not apply.
As is. Apart from those guarantees, Thoughts is provided “as is” and “as available”. We make no other promises about accuracy, reliability, availability, or fitness for any particular purpose, and section 6 applies to everything the AI produces.
Our liability is limited. To the fullest extent the law allows, we are not liable for any indirect, incidental, special or consequential loss, loss of profit, loss of data, or loss of opportunity, however it arises. Our total liability to you for everything arising out of these Terms or the service, in any 12-month period, is limited to the amount you paid us through the App Store in that period, or NZ$100 if that is more.
Your responsibility. You’re responsible for what you record and how you use the answers. If someone brings a claim against us because of content you recorded or because you broke these Terms, you’ll cover our reasonable costs of dealing with it.
12. Apple
These terms are required by Apple for apps on the App Store:
- These Terms are between you and us only, not Apple. We, not Apple, are responsible for Thoughts and its content.
- Your licence to use the app is limited to Apple devices you own or control, as allowed by the App Store’s usage rules, and may be used by other accounts associated with you through Family Sharing or volume purchasing where Apple permits it.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price to you. To the maximum extent permitted by law, Apple has no other warranty obligation for the app. Any other claim, loss, cost or expense attributable to a warranty failure is our responsibility.
- We, not Apple, are responsible for addressing any claims by you or a third party relating to the app, including product liability claims, claims that the app fails to meet a legal or regulatory requirement, and claims under consumer protection or similar laws.
- If a third party claims the app infringes their intellectual property rights, we, not Apple, are responsible for investigating, defending, settling and discharging the claim.
- You confirm you are not located in a country subject to a US Government embargo or designated as a “terrorist supporting” country, and are not on any US Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
- You must comply with any applicable third-party terms when using the app.
13. Law and disputes
These Terms are governed by the laws of New Zealand. If you live somewhere whose consumer law gives you the right to bring a claim in your own country and under your own law, nothing here takes that away.
If there’s a problem, contact us first and we’ll try to sort it out within 30 days. If we can’t, the courts of New Zealand have non-exclusive jurisdiction.
14. Changes
We may update these Terms. If a change matters, we’ll tell you in the app or by email at least 14 days before it takes effect. If you keep using Thoughts after that, the new Terms apply. If you don’t agree, cancel your subscription and stop using the app before the change takes effect. Minor wording fixes just get posted here with a new date.
If any part of these Terms turns out to be unenforceable, the rest still applies. If we don’t enforce something right away, we can still do so later.
